$KAIRO Token Terms & Risk Disclosure

$KAIRO is a standalone on-chain tool within the KAIRO ecosystem, not an ownership interest in the company operating the interface. No intrinsic value, minimum price, return or future value is promised. Read this entire disclosure before acquiring, holding or using the token. You may lose everything you spend on it.

1. Essential disclosure — no promised value

KAIRO has no company-backed, guaranteed or redeemable value. Proodos Group BV does not promise that KAIRO has or will acquire financial value. A market price, if one exists, is not a promise of value and may fall to zero. Do not buy KAIRO expecting the company to generate a profit for you, preserve its price or repay you.

The expression ‘no value’ in these terms means no intrinsic value represented by the interface operator and no guaranteed, company-backed or legally promised monetary value. It does not mean that a third party cannot quote a price, exchange the token or attribute speculative value to it. Any such market activity can disappear entirely.

2. Standalone token and relationship to Proodos Group BV

Proodos Group BV operates the KAIRO interface. The KAIRO token is a standalone blockchain tool integrated into that ecosystem, not the company itself, a subsidiary, a separate legal person or a company ownership instrument. The operator does not claim ownership of the token protocol merely because it operates the interface or uses the KAIRO brand. Ownership of individual token balances is distinct from ownership of the company, its intellectual property and its software.

  • Holding KAIRO does not make you a shareholder, member, creditor, partner, director, employee or beneficial owner of Proodos Group BV or any company involved in operating KAIRO.
  • KAIRO is not a share, company bond, bank deposit, company IOU or contractual claim to repayment by Proodos Group BV.
  • Holding KAIRO alone provides no entitlement to company profits, dividends, treasury assets, protocol fees, liquidation proceeds, voting at company meetings or control of the business.
  • The use of a shared name, website, logo or ecosystem does not turn the token into company equity or create a company guarantee.
  • Corporate ownership of the brand or interface does not confer ownership over users’ token balances.

This separation is not a representation that the operator, its founders, contributors, related persons or treasury hold no tokens, never developed or supported the token, or have no economic involvement. Nor is it a denial of any actual on-chain permissions, fee receipts or other powers. Those matters must be assessed from the relevant contracts, wallet disclosures, records and applicable law, not inferred from the word ‘standalone’.

3. Token identity and scope of these terms

These disclosures concern the KAIRO token on Arc mainnet, contract address 0x3EAd4E80e9e5bC0e01682D7Ee74C4881b040D3EA. The $ prefix is a ticker convention, not a statement that KAIRO is denominated in dollars or equivalent to USDC. Tokens on other networks or with similar names are not automatically the same asset.

These disclosures supplement the Terms of Use and Risk Disclosure for the KAIRO interface. They do not rewrite deployed smart contracts, amend a separate valid agreement or extinguish rights arising under mandatory law. Reading a page or connecting a wallet does not waive rights that cannot lawfully be waived.

4. No backing, redemption or price support

  • The token is not represented as backed by company assets, cash reserves, USDC, property or any other collateral.
  • Proodos Group BV does not undertake to redeem your KAIRO, refund its purchase price, repurchase it or exchange it at a fixed rate.
  • There is no promised price floor, peg, capital protection, insurance, interest rate or minimum resale price.
  • No commitment is made to maintain a trading venue, pool, market maker, liquidity depth, listing or functioning secondary market.
  • No commitment is made to buy back or burn tokens, replenish liquidity or use business revenue to support the token price. An actual on-chain burn or other activity is not a promise of future activity or appreciation.
  • Fees received by a company or protocol do not automatically belong to token holders and do not create a general right to revenue sharing.

5. Tool functionality is not an investment promise

Specific KAIRO products may use the token for on-chain interactions, eligibility or access calculations, or other documented functionality. Some prediction markets settle in KAIRO rather than USDC. Such use does not give the token a guaranteed monetary value and does not turn it into a claim against the interface operator.

  • Only functionality actually available in the relevant product and its contracts should be treated as available. Plans, proposals and roadmaps are not delivered functionality.
  • Holding KAIRO alone does not guarantee admission to a sale, allocation, reward, distribution, yield, discount or future service.
  • Any product-specific entitlement depends on its own rules and actual contract state. These disclosures do not deny an existing enforceable product-specific right.
  • Token-based protocol voting, if expressly provided in a particular product, is distinct from corporate voting or ownership of Proodos Group BV; holding KAIRO alone creates no general governance mandate.
  • Interface features may change, become unavailable or be discontinued, subject to applicable law and existing enforceable obligations. Deployed contracts may remain accessible independently of the interface.

6. No investment recommendation or return promise

This page is a disclosure, not a recommendation to purchase KAIRO, an investment prospectus or an offer of company shares. Nothing here is personalised financial, legal or tax advice. Obtain independent advice where needed and do not rely on the operator to assess suitability for your circumstances.

Price charts, historical volumes, market capitalisation estimates, token balances, community activity, integrations, burns and ecosystem announcements are not assurances of future performance. Statements about adoption or product development do not promise token appreciation. Past performance does not predict future results.

No founder, team member, moderator, influencer or community participant is authorised by these terms to guarantee a price, return, listing, buyback, refund or compensation. Report purported guarantees through the Contact page. This clause does not excuse misleading statements, fraud or an obligation that applicable law actually imposes.

7. Volatility, liquidity and risk of total loss

  • The price may change abruptly, be manipulated, become unreliable or fall permanently to zero.
  • You may be unable to sell, transfer or use the token at the time or price you expect. A displayed price is not an executable offer.
  • Thin liquidity, concentrated holdings, large sales, slippage and price impact can cause disproportionate losses.
  • Third-party markets, bridges, pools and data providers may fail, restrict access or display inaccurate information.
  • Network outages, transaction reordering, malicious approvals, phishing, compromised devices and lost wallet credentials can result in irreversible loss.
  • Smart-contract vulnerabilities, economic exploits and integration errors can cause losses even when a transaction appears correct. Not yet independently audited. You could lose funds.
  • A token position is not represented as covered by a deposit guarantee, investor compensation scheme or insurance arranged by Proodos Group BV.
Do not commit funds needed for essential expenses, borrow to acquire KAIRO or assume you can recover your purchase cost. You must be able to bear a complete loss.

8. Wallet control and transaction responsibility

KAIRO is non-custodial. Users authorise transactions with their own wallets. Connecting a wallet does not transfer ownership of its assets to Proodos Group BV. A smart contract may hold assets according to its own rules; that is not a promise that the company can reverse transactions, recover funds or prevent losses.

  • Verify the network, contract address, recipient, approvals, amounts and expected output before signing.
  • Network fees and disclosed product fees may apply even where a transaction fails or has an unfavourable result.
  • Keep wallet passwords, keys and recovery phrases secure. Do not share them with anyone claiming to offer support.
  • Do not assume the interface operator can cancel, freeze, recover or reverse your transaction. Any actual contract administrator powers are specific to the relevant contract and must be considered separately.

9. Conflicts, third parties and ecosystem names

Token holdings, fee receipts, development roles or relationships with service providers can create conflicts of interest. The standalone description is not an assurance that conflicts do not exist. A token listing or verification badge is not an audit, investment endorsement, guarantee of liquidity or confirmation of regulatory approval.

Use of Arc infrastructure or Circle-related services does not mean that Arc, Circle, the USDC issuer or another service provider backs KAIRO, guarantees its value, insures your position or accepts responsibility for it. Each provider’s actual role is limited to the services it supplies under its own terms.

#conflicts-and-third-parties

10. Legal classification, eligibility and taxes

Calling KAIRO a tool or utility token does not determine its legal classification. Regulators and courts assess the facts, actual rights, communications and applicable law. This disclosure is not a legal determination that the token falls outside securities, crypto-asset, financial-services, consumer-protection or other regulation, and does not substitute for any required authorisation or disclosure.

Do not use the interface where prohibited by law or applicable sanctions. The eligibility and geographic rules in the Terms of Use continue to apply. You are responsible for obtaining advice on tax liabilities, reporting, record-keeping and lawful use in your jurisdiction; mandatory duties of the operator remain unaffected.

#law-and-taxes

11. Limitations of responsibility and mandatory safeguards

To the extent permitted by applicable law, the operator makes no warranty of token value, fitness for investment, market liquidity, price accuracy, continuous functionality or future utility. No voluntary compensation undertaking is created for ordinary market losses, third-party failures or transactions you independently authorise.

Any limitation of liability under the Terms of Use applies only where lawful. Nothing in this disclosure excludes or limits liability for fraud, intentional misconduct, gross negligence where non-excludable, or any other liability that cannot lawfully be excluded. It does not remove mandatory consumer protections, statutory remedies, regulatory obligations or enforceable contractual rights.

Subject to applicable law, unlawful misuse, fraud, manipulation, impersonation or a breach of valid terms may expose you to responsibility for resulting third-party claims and reasonable costs. This is not an unrestricted indemnity, does not make you responsible for the operator’s own wrongdoing and does not restrict non-waivable rights.

No disclaimer can change the actual facts, transfer corporate responsibility to an imaginary separate entity, or guarantee that Proodos Group BV or any other company avoids legal liability. Other persons and companies remain responsible for their own conduct under applicable law.

12. Changes, governing terms and contact

This disclosure is versioned and dated. Future revisions do not retrospectively remove accrued rights or change deployed token code. The governing-law and dispute provisions in the Terms of Use apply only to the extent enforceable, without depriving consumers of mandatory protections or access to courts available under applicable law.

For questions about these disclosures, suspected misleading token promotions or the operator’s role, use the Contact page. Seek independent advice before relying on any token-related communication.

These disclosures have not yet been reviewed by qualified legal counsel. They are not a legal opinion or a guarantee of protection for Proodos Group BV. Corporate ownership, actual token holdings and control, regulatory classification and enforceability require factual verification and professional legal review.
